Terms & Conditions

These Terms and Conditions (the “Term and Conditions”) govern all Event Services Agreements (each, an “Agreement”) entered into between Good Days, a brand of Promise Mountain LLC (“Good Days,” “we,” “us,” or “our”) and each Client regarding services provided by us to each Client relating to a Client’s Event, and are incorporated into and made a part of each Agreement. Good Days and Client are sometimes referred to herein individually as a “Party” and collectively as the “Parties.” All capitalized terms used and not otherwise defined shall have the meaning ascribed to them in the Agreement.

For purposes of this Agreement, “Good Days” means Good Days, a brand of Promise Mountain LLC.

    - Provide requested information and decisions within the timeframes communicated by Good Days.
    - Provide accurate guest counts and notify Good Days in writing of changes.
    - Ensure that Client and Client’s guests comply with all applicable laws, park rules, venue rules, permit requirements, and reasonable safety instructions.
    - Inform Good Days of any circumstances that may affect the Event, including mobility, accessibility, dietary, medical, scheduling, or other relevant considerations.
    - Ensure that Client and guests behave respectfully toward Good Days, its employees, contractors, vendors, property, and third parties.
    - Be responsible for the conduct of Client’s guests to the extent permitted by law.

    - Follow reasonable instructions provided by Good Days regarding safety, timing, location access, transportation, and Event logistics.

Good Days reserves the right to stop, modify, relocate, or terminate an activity or portion of the Event if Good Days reasonably believes that continuing would create an unsafe condition, violate a law, permit, park rule, venue rule, or materially endanger Client, guests, vendors, or Good Days personnel.

  2. Guest Conduct & Alcohol. Client is responsible for ensuring that Client and Client’s guests comply with all applicable laws and regulations. Client and guests must not engage in behavior that is unsafe, threatening, abusive, illegal, excessively intoxicated, destructive, or disruptive.

Good Days may require a guest to leave an Event or may discontinue a portion of an Event if that person's conduct creates a safety concern or materially interferes with the Event.

Good Days is not responsible for injuries, damages, or losses caused by Client’s or a guest’s intoxication, unlawful conduct, reckless behavior, or failure to follow reasonable safety instructions, except to the extent caused by Good Days’ own legally actionable conduct.

Client is responsible for complying with all laws and location-specific rules regarding alcohol.

  3. Payment. The Total Cost is due from Client on the date that is one month prior to the Wedding Date. Any additional services or changes made to the Services after the date of the Agreement must be agreed to by Good Days and Client in writing, and will be added to the Total Cost and be included in the Client’s invoice file.

  4. Retainer. The Retainer is required to hold the Event Date and is non-refundable to Client. In the event of a cancellation, the Retainer can be applied asa credit toa future booking in the event of a cancellation.

  5. Date Change / Rescheduling. Requests to reschedule an Event are subject to Good Days’ availability and written approval. Good Days does not guarantee that the same date, location, vendors, lodging, or other services will be available for a rescheduled Event.

Additional fees may apply to a rescheduled Event, including vendor, lodging, transportation, permit, location, administrative, and other costs.

  6. Cancellations. Client’s cancellation rights, obligations, and any applicable refunds or forfeitures are governed by the cancellation provisions contained in the Good Days Terms & Conditions. Because Good Days reserves dates, locations, vendors, lodging, transportation, and other resources specifically for Client, cancellation may result in forfeiture of amounts previously paid.

Client acknowledges that Good Days may incur non-refundable expenses on Client’s behalf before the Event.

  7. Weather & Safety. Good Days Events may be affected by weather and environmental conditions.
Good Days reserves the right to modify, postpone, relocate, shorten, or cancel portions of an Event when reasonably necessary because of unsafe weather, environmental conditions, wildfire, smoke, extreme temperatures, flooding, lightning, snow, ice, road or trail conditions, natural hazards, government restrictions, or other safety concerns.

Good Days’ reasonable safety determination will control the itinerary when necessary to protect Client, guests, vendors, or Good Days personnel.

Weather-related changes do not automatically entitle Client to a refund when Good Days is able to provide reasonably comparable services.

  8. Transportation. Unless expressly included in writing as part of Client’s package, Good Days does not provide transportation to or from the Event. When transportation is arranged or provided by a third-party transportation provider, that provider is an independent contractor and is responsible for its own vehicles, employees, insurance, operations, and services.

Good Days is not responsible for delays, accidents, injuries, mechanical failures, traffic, road closures, weather conditions, or other issues arising from transportation provided by an independent third party, except to the extent caused by Good Days’ own legally actionable conduct.

Client and guests are responsible for following all applicable transportation laws and safety requirements.

Good Days may use such photographs and recordings for portfolio, website, social media, advertising, editorial, promotional, and other business purposes. Client represents that Client has authority to provide the permissions granted under this section with respect to Client’s own likeness. Client may request in writing prior to the Event that Good Days not use Client’s likeness for promotional purposes.

Good Days will make reasonable efforts to honor such request.

Good Days will make reasonable efforts to ensure that the Services (and any Additional Services) are produced in a style and manner consistent with Good Days’s current portfolio, subject to any reasonable suggestion made by Client, provided, however, Good Days reserves the right to have final say regarding the aesthetic judgment and artistic quality of the Services, any Additional Services and Products. In addition, Good Days reserves the right to choose all wedding day vendors including the photographer, videographer, catering, hairstylist/makeup artist, cake designer and floral designer. 13. Property Damage. Client is responsible for damage caused by Client or Client’s guests to property belonging to Good Days, vendors, venues, lodging providers, parks, government agencies, or other third parties, except to the extent such damage is caused by another party’s legally actionable conduct.

Client agrees to reimburse Good Days for reasonable costs incurred as a direct result of such damage when legally recoverable.

  14. Personal Property. Client and guests are solely responsible for their personal belongings. Good Days is not responsible for lost, stolen, damaged, or misplaced personal property except to the extent caused by Good Days’ legally actionable conduct.

Good Days may coordinate with independent vendors to provide services associated with the Event, including but not limited to photographers, videographers, florists, bakers, officiants, transportation providers, lodging providers, hair and makeup artists, musicians, venues, and other service providers.

Third-party vendors are independent contractors and are not employees of Good Days unless expressly stated otherwise.

Good Days will make reasonable efforts to select reputable vendors and coordinate their services. However, Good Days does not guarantee the performance, availability, conduct, quality, timeliness, or continued operation of any independent vendor. If a vendor becomes unavailable or unable to perform, Good Days may substitute another vendor providing reasonably comparable services.

  16. Outdoor Events, Terrain, and Natural Risk. Client understands that Good Days Events may take place outdoors and/or in remote or naturally occurring locations. Such locations may involve risks including, but not limited to:
Uneven or unstable terrain; rocks, gravel, dirt, mud, sand, snow, or ice; steep or slippery surfaces; stairs or elevation changes; hiking or extended walking; water, rivers, lakes, or waterfalls; changing weather conditions; extreme temperatures; wildlife and insects; falling branches, rocks, or other natural objects; road and trail conditions; remote locations with limited cellular service; limited access to emergency services; and other natural or environmental hazards. Client understands these risks and voluntarily chooses to participate in the Event with knowledge of the ordinary and inherent risks associated with the locations and activities involved.

Client agrees to use reasonable care for their own safety and the safety of their guests.

Good Days may modify the itinerary, location, timing, activities, or services when reasonably necessary for safety, legal compliance, weather, permits, closures, or other circumstances outside Good Days’ reasonable control.

  17. Accident Waiver and Release. Client acknowledges and understands that participation in an Event may involve ordinary and inherent risks of injury, illness, property damage, or loss.

To the fullest extent permitted by applicable law, Client voluntarily assumes the ordinary and inherent risks associated with participation in the Event.

To the fullest extent permitted by applicable law, Client agrees to release and hold harmless Good Days, Promise Mountain LLC, and their respective owners, members, managers, employees, contractors, representatives, and agents (collectively, the “Good Days Parties”) from claims arising from Client’s or Client’s guests’ participation in the Event to the extent such claims arise from risks expressly identified in this Agreement or from the ordinary negligence of a Good Days Party.

This release includes, where applicable, ordinary risks associated with outdoor locations, walking or hiking, uneven or slippery terrain, weather, environmental conditions, travel between Event locations, recreational or celebratory activities, and use of facilities or property associated with the Event.

This Agreement does not release or limit liability to the extent such liability cannot legally be released or limited, including liability arising from gross negligence, reckless conduct, intentional misconduct, or other conduct that applicable law prohibits the parties from waiving.

Client acknowledges that this provision concerns a substantial legal right and that Client has had an opportunity to read and understand this provision before signing.

  18. Accessibility & Special Considerations. Client agrees to communicate accessibility needs or other circumstances that may affect the Event as early as reasonably possible. Many Good Days experiences take place in outdoor, remote, or naturally occurring locations and may have limited accessibility. Good Days will make reasonable efforts to identify appropriate alternatives when possible but cannot guarantee accessibility at every location.

  19. Medical Emergencies. Client understands that some Good Days locations may be remote and that emergency medical services may not be immediately available. If Client or a guest experiences an injury, illness, or medical emergency during the Event, Client authorizes Good Days and its representatives, to the extent reasonably necessary, to contact emergency services or seek emergency assistance.

Good Days is not a medical provider and does not provide medical care, medical advice, medical supervision, or emergency medical transportation. Client is responsible for obtaining appropriate medical care and for any medical, transportation, or other expenses incurred by Client or Client’s guests.

Nothing in this provision limits liability that cannot legally be limited under applicable law.

  20. Loss of Product. In the event that any Product is lost, Good Days shall refund Client in an amount up to $1600.

  21. Wedding Legalities. Client understands and agrees that Client is responsible for all marital paperwork, and shall secure all necessary paperwork prior to arriving at the wedding destination.

  22. Location Changes, Closures & Permits. Good Days does not control public parks, government agencies, venues, lodging providers, transportation providers, weather conditions, road authorities, or other third parties. If a selected location becomes unavailable because of a closure, permit denial, weather, wildfire, government restriction, natural disaster, maintenance, capacity limitation, safety concern, or another circumstance outside Good Days’ reasonable control, Good Days may select a reasonably comparable alternative location or modify the Event.

Good Days will make reasonable efforts to preserve the overall experience and services purchased by Client. Client-requested location changes may result in additional fees.

  23. Changes to Event Itinerary. Client acknowledges that an Event itinerary may change due to weather, safety, traffic, vendor availability, location restrictions, permit requirements, timing, government restrictions, or other circumstances. Good Days reserves the right to make reasonable adjustments to the Event itinerary when necessary.

Good Days will make reasonable efforts to communicate significant changes to Client as soon as practicable.

Minor changes to timing, sequencing, vendors, locations, or other logistical details that do not materially reduce the overall services provided shall not constitute a breach of this Agreement.

  24. Impossibility. Notwithstanding anything contained in the Agreement and these Terms and Conditions to the contrary, either party elect, in writing, to terminate the Agreement in the event of an occurrence that is outside the control of either party including, but not limited to, war, invasion, act of foreign enemies, rioting, disorder, nuclear leak or act of terrorism, in which case, Good Days will refund Client and amount equal to amounts paid by Client prior to the cancellation, minus the Retainer.

  25. Global Emergency (COVID -19) Floating 12-Month Change Date Option. For Events that are scheduled to take place in the United States, Good Days and Client reserve the right to reschedule the Wedding Date to another agreed upon date that is within 12 months of the original Wedding Date if the borders of the Identified Location where the Event is scheduled to take place are locked down or otherwise restricted for reasons related to a global emergency, including COVID-19 within 60 days of the Wedding Date, without otherwise effecting the terms of the Agreement.

  26. Choice of Law. The Agreement shall be governed, construed and enforced in accordance with the laws of the State of Tennessee, without regard to its conflict of law rules.

  27. Assignment. The Agreement may not be assigned or transferred by either Party without prior written consent of the other Party.

  28. Severability. In the event that any provision of the Agreement or these Terms and Conditions are deemed to be illegal or unenforceable, the remaining provisions of the Agreement or these Terms and Conditions shall remain in full force and effect.

  29. Entire Agreement. The Agreement, together with the Terms and Conditions, constitutes the entire agreement of the Parties as to the subject matter covered herein and supersedes all prior oral or written agreements, proposals, understandings, representations, conditions and promises related thereto. The provisions of this Agreement may not be modified or amended except by a written instrument signed on behalf of both Parties.

  30. Good Day’s Right to Terminate. Good Days may terminate or suspend services if Client:

    - Fails to make required payments;
    - Materially breaches this Agreement;
    - Engages in threatening, abusive, illegal, or dangerous conduct;
    - Places Good Days personnel, vendors, Client, guests, or members of the public at unreasonable risk; or
    - Otherwise makes continued performance of the Event reasonably unsafe or impracticable.

Any rights or refunds following termination shall be governed by the applicable provisions of this Agreement and the Terms & Conditions.

  31. Counterparts. The Parties may execute this Agreement in two or more counterparts, which, in the aggregate, will be signed by all Parties. Each counterpart shall be deemed to be an original document as against any Party who has signed the counterpart. Copies of original signatures sent via electronic transmission shall be deemed to be originals for purposes of the Agreement.
